1. Eligibility and Account Registration

• You must be at least 18 years old to use DeeSunTech Workplace.
• You are responsible for providing accurate, complete, and up-to-date account information.
• You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account.

2. Use of the Services

2.1 Permitted Use

You may use DeeSunTech Workplace solely for lawful business and organizational purposes, in accordance with these Terms and applicable laws.

2.2 Prohibited Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to systems, data, or networks
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or copy any part of the Services
• Resell, sublicense, or exploit the Services without our written permission

3. Workspaces and User Content

3.1 Ownership of Content

• You retain ownership of all content, data, and materials you upload or create within your workspace ("User Content").
• We do not claim ownership over your User Content.

3.2 License to Operate the Services

By using the Services, you grant DeeSunTech a limited, non-exclusive, worldwide license to host, process, store, and display User Content solely to provide and improve the Services.

3.3 Responsibility for Content

You are solely responsible for:

• The legality, accuracy, and integrity of User Content
• Ensuring you have the rights and permissions to upload and use such content

4. Subscriptions, Fees, and Payments

• Certain features of DeeSunTech Workplace may require a paid subscription.
• Pricing, billing cycles, and payment terms will be presented at the point of purchase.
• Payments are non-refundable except where required by law or explicitly stated otherwise.
• We reserve the right to change pricing with reasonable prior notice.

5. Third-Party Services and Integrations

DeeSunTech Workplace may integrate with or link to third-party services. We are not responsible for the availability, functionality, or content of third-party services. Your use of such services is governed by their respective terms and policies.

6. Intellectual Property

• DeeSunTech Workplace, including its software, design, logos, trademarks, and documentation, is the exclusive property of DeeSunTech.
• Except as expressly permitted, you may not use, copy, modify, or distribute our intellectual property without prior written consent.

7. Suspension and Termination

We may suspend or terminate your access to the Services if:

• You violate these Terms
• Your use poses a security or legal risk
• Required by law or regulatory authorities

You may terminate your account at any time. Upon termination, access to the Services will cease, and your data may be deleted in accordance with our Privacy Policy.

8. Data Protection and Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data. By using DeeSunTech Workplace, you agree to our Privacy Policy.

9. Service Availability and Modifications

• We strive to maintain high availability but do not guarantee uninterrupted or error-free operation.
• We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DeeSunTech disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law:

• DeeSunTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability arising out of or related to the Services shall not exceed the amount paid by you to DeeSunTech in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless DeeSunTech, its directors, officers, employees, and partners from any claims, damages, liabilities, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your User Content

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved through good-faith negotiation, and where necessary, competent courts within Nigeria.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
